LocalHostHQ Ventures, henceforth referred to as “LocalHostHQ” or “the Entity,” is engaged in the assessment and potential support of entities and individuals, henceforth referred to as “Participants,” seeking engagement with LocalHostHQ for exploring potential collaboration, sponsorship, or support. These Terms of Conduct, henceforth referred to as “Terms,” establish the obligations, expectations, and procedural framework governing the interactions between LocalHostHQ and Participants.

1. Engagement Principles

1.1 Intellectual Property (IP)

Participants maintain all rights and titles to intellectual property (IP) disclosed to LocalHostHQ. Such disclosure grants LocalHostHQ a limited, revocable, non-exclusive license to use the IP internally and with selected affiliates solely for evaluation purposes, under strict confidentiality agreements, without transferring any IP rights or ownership.

1.2 Confidentiality and Professional Conduct

All information shared by Participants with LocalHostHQ shall be treated with the utmost confidentiality. LocalHostHQ commits to professional conduct in all interactions with Participants, ensuring an environment free from discrimination or harassment.

2. Funding Engagement and Discretion

2.1 Non-Binding Engagement

Communications, whether verbal or written, indicating LocalHostHQ’s potential interest in providing support, sponsorship, or investment, do not form binding commitments. LocalHostHQ reserves the full right, at its sole discretion, to determine the continuation or cessation of any investment or support discussion.

2.2 Conditions Precedent to Investment

LocalHostHQ retains the right to withdraw, cancel, or modify the terms of any potential or actual engagement, support, or investment, contingent upon not having entered into a legally binding agreement with the Participant. This right is exercisable at LocalHostHQ’s sole discretion, at any time prior to the execution of such an agreement, without incurring liability.

3. Ethical Considerations and Compliance

3.1 Ethical Innovation

Participants and LocalHostHQ commit to ethical standards in technology development and implementation, adhering to applicable laws, regulations, and ethical guidelines, particularly regarding data protection, user privacy, and ethical technology use.

3.2 Legal and Regulatory Compliance

Both LocalHostHQ and Participants shall comply with all applicable laws and regulatory requirements, ensuring that their operations and the nature of their engagement conform to statutory obligations and ethical standards.

4. Amendments and Modifications

LocalHostHQ reserves the right to modify these Terms at any time. Modifications become effective immediately upon publication or communication to Participants. Continued engagement with LocalHostHQ following any modifications indicates Participants’ acceptance of the revised Terms.

5. Jurisdiction and Dispute Resolution

These Terms shall be governed by the laws of Tokyo, Japan. Any disputes arising under these Terms shall be resolved through arbitration in Tokyo, pursuant to the rules of the Japan Commercial Arbitration Association (JCAA).
